Transaction advisory services (TAS) is a specialized consulting service that provides support to clients engaged in business transactions such as mergers, acquisitions, divestitures, joint ventures, or restructuring. The services provided by Global Turner are diverse, and can be customized to meet the unique needs of each client.
We at Global Turner will assist you in flawlessly coordinating all of the functions across interconnected sectors, as well as in structuring the transaction in such a way that it will bring the project to fruition while optimising the capital management, regardless of whether your company enters into concession agreements, undertakes privatization, or participates in any other type of public-private partnership project.
Global Turner offers a range of services to clients engaged in business transactions. These services are designed to help clients make informed decisions and maximize the value of their transactions. With the help of TAS firms, clients can identify potential risks and opportunities, structure the transaction to meet their specific objectives, and ensure that the transaction is aligned with their long-term strategic goals.
Due Diligence
Documents such as purchase agreements, construction contracts, contracts for the supply and sale of project equipment, authentication and legalisation of documents, and their certified translation are all part of our work. We also study project proposals, feasibility study reports, engineering study reports, sovereign or sub-sovereign approvals (including sovereign guarantees), and approval documents provided by taxation, environmental protection, and customs administrations. Checking credit history databases, Central Credit Registers, verifying information with contracting agencies, and using third-party service providers for AML/CFT, KYC, and FCC checks are all part of the due diligence process.

Credit Report
Our goal is to get a Credit Facility for our client’s project by presenting the results of our Due Diligence to our network of partner lenders and underwriters.
Credit Enhancement & Financial Structuring
Governments throughout the world are increasingly advocating for PPPs as a means of securing off-balance-sheet financing and attracting foreign direct investment. Lenders, meanwhile, take on some of the project’s risk in exchange for bigger profit margins than they would receive in a typical business loan. Lenders may insist on the inclusion of contingent risk management mechanisms in the transaction structure, such as stand-by letters of credit (SBLC) or Sovereign Guarantees (SG), to protect them from defaulting on their payment obligations should the main obligor fail to meet theirs. First demand guarantees, such as performance bonds and advance payment bonds, offer further credit enhancement by safeguarding against the risk of non-performance of contractual obligations originating from EPC contracts. Credit enhancement and credit replacement can be accomplished using a variety of insurance schemes.

Legal & Contracts
The success of the project relies on the legal framework being correctly structured as early as possible. For instance, the language of the contract needs to be precisely worded so that its obligations may be enforced in an international arbitration court.
Tax Advisory
From a tax structuring standpoint, good project planning comprises working to maximise cash flow. Transnational transfer pricing methods, international tax compliance, and treasury management advising are all part of our tax advisory services.

Closing Assistance
Counseling on loan agreements and debt restructuring is among the post-closing services provided by Global Turner. The main obligor’s risk of default on its financial obligations is eliminated or at least reduced by a decrease in the cost of capital, and this assistance is provided by renegotiating interest rates on the credit facility and/or obtaining an extension on the maturity date whereupon the company’s liabilities become due.
